Content Marketing Service Agreement

The scope, approvals, billing, responsibilities, and safeguards for dental content systems organized around the practice focus.

2.Scope and selected track

This agreement applies to the Comprehensive Dental, Orthodontic, Endodontic, Periodontal, Pediatric, Oral Surgery, and ORABIOMEX content strategies. Each uses the same published Content Activation and recurring production baseline when selected in a written order; the selected practice focus determines the subject matter, audiences, intake information, language controls, and approval requirements.

Only the Comprehensive Dental Content System and ORABIOMEX Content & Category Authority System currently have direct checkout products. The other specialty strategies begin with a recommendation and written scope; this presentation does not create a separate checkout product or authorize billing by itself.

The monthly service includes 30 branded social posts for Facebook and Instagram, two educational blog articles, two branded patient emails, four Google Business Profile posts, monthly planning and approval, one consolidated monthly correction round, publishing, and basic content-performance reporting.

Services not expressly included in the selected package require a separate written scope and price before work begins.

3.Content Activation

The one-time $299 Content Activation covers practice and audience research, brand and messaging configuration, collection of approved visual assets, applicable publishing-channel connections, content categories, prohibited topics, the publishing schedule, the approval process, an initial 25–30-topic board, initial reporting configuration, and one setup revision round.

Activation depends on timely receipt of complete information, assets, access, and approvals. Delays caused by missing client materials or permissions may move the production schedule.

4.Billing and renewal

The initial charge is $1,446, consisting of the $299 Content Activation and the first $1,147 monthly service period. The subscription then renews automatically at $1,147 each month on the same calendar day until cancelled.

There is no minimum term. Monthly fees are billed in advance and are not prorated for partial periods. Work outside the package is not charged without written authorization.

5.Client responsibilities

  • Provide accurate practice names, locations, contact information, services, offers, credentials, claims, statistics, research references, and calls to action.
  • Provide only testimonials, patient stories, images, trademarks, and other materials the client has permission to use, including any legally required patient authorization.
  • Maintain appropriate access and permissions for each connected publishing channel and an authorized contact list for email distribution.
  • Review drafts promptly and identify regulated, confidential, licensed, clinical, or legally sensitive content before approving it.
  • Do not provide protected patient information or other sensitive clinical information in general content-generation materials.

6.Approval, quality control, and revisions

Content is produced with AI assistance and human agency review. AI assistance does not replace client verification, professional review, or clinical judgment.

We place content in draft and require written client approval before publishing. Approval confirms that the facts, credentials, claims, permissions, visual assets, links, and calls to action are accurate and authorized. We do not publish merely because an approval request goes unanswered.

The package includes one consolidated monthly correction round. A correction round means one collected set of changes to the monthly batch. New directions, replacement source material, additional revisions, or work outside the agreed volume may require a separate quote.

7.Practice-focus and ORABIOMEX controls

A practice-focus strategy changes editorial direction and audience pathways; it does not authorize the agency to make clinical judgments, expand a provider’s scope, or publish unverified treatment, referral, urgency, credential, or outcome claims. Oral and maxillofacial surgery and ENT remain distinct fields; possible coordination may be described only from approved practice facts and never as equivalence.

The ORABIOMEX Content & Category Authority System is available only to an eligible ORABIOMEX-certified practice. ORABIOMEX supplies the approved clinical language, certification standards, permitted claims, assessment resources, and compliance direction. The practice verifies its provider credentials and practice-specific information. This agreement treats ORABIOMEX as a practice focus and does not describe it as a recognized specialty, a sixth specialty, or an emerging discipline.

Our role is to organize and produce approved patient education and guide interested people toward an appropriate consultation request. We do not create clinical claims, define what certification authorizes, change or interpret an assessment, diagnose, provide medical advice, determine clinical suitability, or recommend treatment.

  • Content must distinguish education from diagnosis and clinical evaluation.
  • Content may not state or imply that ORABIOMEX detects, cures, treats, or prevents disease.
  • Health claims, statistics, credentials, testimonials, patient stories, and certification descriptions require human verification and written approval before publication.
  • The client remains responsible for patient care, clinical judgment, and compliance with professional and legal obligations.

8.Excluded services

This is a content-production service. It does not include lead or comment-to-message automation, workflows, webhooks, CRM pipelines, qualification, appointment scheduling, follow-up or nurturing, local SEO management, review or reputation management, PR, paid media, advanced attribution, video filming or production, landing-page construction, clinical education or training, or assessment creation or modification.

It also excludes original photography, advanced video editing, daily community management, manual inbox responses, unlimited revisions, and approval-free publishing unless separately established in a written order.

9.Platforms and availability

Publishing, formatting, scheduling, and reporting depend on supported third-party platforms, active client accounts, permissions, integrations, policies, and available data. A platform may change, restrict, reject, delay, reformat, suspend, or remove content outside our control.

We will make reasonable efforts to correct delivery issues within our control, but we are not responsible for outages, account restrictions, policy enforcement, data delays, or discontinued features controlled by a third party.

10.Results and no guarantees

We commit to the production and management work listed in the package. We do not guarantee search rankings, reach, follower growth, engagement, consultation requests, booked appointments, attendance, treatment acceptance, revenue, or clinical outcomes.

Reports use data made available by connected platforms. They do not establish advanced attribution, verified clinical performance, or causation between content and business or patient outcomes.

11.Content ownership and permitted use

After payment, the client may use final approved deliverables created specifically for the client in its own business marketing. The client retains ownership of materials it supplied and grants us a limited license to use them to perform the service.

We retain ownership of our pre-existing methods, templates, systems, prompts, processes, and general know-how. Third-party fonts, stock media, platform elements, and other licensed materials remain subject to their original licenses. Drafts, rejected concepts, and unused variations are not final deliverables.

12.Cancellation and suspension

The client may cancel at any time by emailing info@ngeniuspro.com or calling 714-276-1798. Cancellation takes effect at the end of the current paid billing period, and service continues through that date. Monthly fees already charged are not prorated or refunded because production capacity and work are reserved for the period.

The one-time activation charge is refundable before activation work begins. After research, configuration, or setup work begins, the earned portion is non-refundable. Completed and approved deliverables remain available to the client, subject to the ownership terms above.

We may pause production or publishing when payment, required access, source information, approvals, or legally necessary permissions are missing, or when requested content would violate law, professional obligations, platform policy, or this agreement.
